Cristallo Terms of Service

1.1 What we provide

Cristallo is a macOS application made by Virgee LLC ("we," "us," "our") that:

• Converts PDFs and images (PNG, JPEG, TIFF, HEIC and others) into Markdown, Word (DOCX) and CSV files
• Recognizes tables, reading order, headings, lists and pictures, and reads scanned pages in English and Spanish
• Shows each source page next to its result, and converts whole folders at once
• Does all of this on your Mac, without sending your documents anywhere

1.2 What we are NOT

• Not a certified transcription. Recognizing documents is never perfect. Results can contain errors, and you are responsible for checking them before relying on them.
• Not a backup or storage service. Cristallo reads your files and writes new ones where you tell it to. Keep copies of your work.
• Not affiliated with Apple or Microsoft. Mac and App Store are trademarks of Apple Inc.; Word and Excel are trademarks of Microsoft Corporation.

2.1 On this website

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also governed by Paddle's buyer terms. The price is $39 (US dollars), once; sales tax or VAT may be added at checkout depending on where you live.

2.2 On the Mac App Store

Purchases on the Mac App Store are made with Apple under the Apple Media Services Terms and Conditions. Section 15 applies to that edition.

3.1 What you get

When you buy Cristallo, Virgee LLC grants you a personal, non-exclusive, non-transferable license to install and use the app on Macs you own or control, for personal or work purposes. A license bought here is for one person; businesses need one license per person who uses the app. A Mac App Store purchase is licensed as Apple's terms allow, including Family Sharing where Apple makes it available.

3.2 Your license key

A license bought here comes as a key that the app verifies offline. Keep it private: don't share, publish or resell it, or use it to unlock copies for other people.

3.3 Updates

A license bought here includes every version we release during 12 months from your purchase date. Those versions keep working for as long as you want to use them; nothing expires and nothing is switched off. After that period you can buy another year of updates. The Mac App Store edition is updated through the App Store. Updates may add, change or remove features. These terms apply to every version unless an update comes with new terms.

3.4 Free trial

The edition sold here converts 10 pages for free, at full quality, so you can try it on your own documents before buying.

3.5 What you may not do

• Copy, redistribute, sell, rent or sublicense the app or its components, other than as these terms or Apple's terms allow
• Remove, bypass or tamper with the license check or the trial
• Reverse engineer, decompile or disassemble the app except to the extent that applicable law expressly permits it
• Remove or alter copyright, trademark or other proprietary notices
• Use the app in a way that violates any law or infringes anyone's rights

5.1 You own your files

Everything you convert with Cristallo, and every file it writes, belongs to you. We claim no rights in it, and because the app never transmits your documents, we never possess them.

5.2 Check the results

Cristallo reads your documents and writes new files; it does not change the originals. Before you rely on a converted document, especially for figures, legal text or anything you will sign, file or publish, check it against the original. We are not responsible for decisions made on unchecked results.

5.3 Your right to convert

You are responsible for having the right to convert and use the documents you open with Cristallo.

6.1 Do

• Use Cristallo to convert, edit and reuse documents, personally or at work
• Tell us when a conversion goes wrong, so we can improve it

6.2 Don't

• Use the app to infringe copyright, violate licenses or break any law
• Interfere with the app's security measures, license check or trial
• Misrepresent Cristallo as your own product or as affiliated with Apple or Microsoft

7.1 Our stuff

Cristallo, its icon, name, design, code and converted models are owned by Virgee LLC or its licensors and protected by copyright, trademark and other laws. These terms give you a license to use the app, not ownership of it.

7.2 Open-source components

The app includes open-source software and models, each under its own license. They are listed, with their full license texts, in the app under Help › Acknowledgements, and those licenses govern those components.

7.3 Feedback

If you send us suggestions or ideas, you agree we may use them without obligation to you.

9.1 "As is" software

Cristallo is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

9.2 What this means in plain language

• Documents vary enormously; we cannot promise every table, column or character comes out exactly right
• We cannot promise the app is free of bugs, though we fix the ones we find as fast as we can
• Exports are a best-effort translation into other formats, not a certified reproduction
• We are a small team building the best product we can

10.1 Cap on damages

To the maximum extent permitted by law, Virgee LLC's total aggregate liability to you for any claims arising from or related to Cristallo shall not exceed the greater of:

• The amount you paid for the app in the 12 months prior to the claim, or
• One hundred US dollars ($100)

10.2 Exclusion of certain damages

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of profits or revenue, or loss of goodwill.

10.3 Exceptions

Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded by applicable law, and nothing here limits rights you have under the consumer protection laws of your country.

11.1 Let's talk first

If you have a dispute with us, please contact us at support@cristallo.app first. Most issues can be resolved quickly through direct communication. We commit to responding within 14 business days.

11.2 Informal resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally for at least 30 days after the initial written notice.

11.3 Governing law

These terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

11.4 Jurisdiction

Any disputes that cannot be resolved informally shall be resolved in the state or federal courts located in Sangamon County, Illinois, United States. You consent to the personal jurisdiction of these courts.

11.5 Class action waiver

To the maximum extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration or representative action.

11.6 Time limit

Any claim must be brought within one (1) year of the event giving rise to the claim, or the claim is permanently barred.

13.1 Entire agreement

These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Virgee LLC regarding Cristallo.

13.2 Severability

If any part of these terms is found to be unenforceable, the rest remains in full effect.

13.3 No waiver

Our failure to enforce any part of these terms does not waive our right to enforce it later.

13.4 Assignment

We may assign these terms in connection with a merger, acquisition or sale of assets. You may not assign your rights under these terms.

13.5 Force majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

13.6 Language

These terms are published in English and Spanish. If the two differ, the English version controls, unless the law of your country requires otherwise.

15.1 Acknowledgment

These terms are between you and Virgee LLC only, not with Apple Inc. ("Apple"). Apple is not responsible for Cristallo or its content.

15.2 Scope of license

The license granted to you is limited to a non-transferable license to use Cristallo on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

15.3 Maintenance and support

Virgee LLC is solely responsible for providing any maintenance and support services for Cristallo, as specified in these terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services for the app.

15.4 Warranty

Virgee LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Cristallo to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app.

15.5 Product claims

Virgee LLC, not Apple, is responsible for addressing any claims by you or any third party relating to Cristallo or your possession and use of it, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.

15.6 Intellectual property rights

In the event of any third-party claim that Cristallo or your possession and use of it infringes that third party's intellectual property rights, Virgee LLC, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such claim.

15.7 Legal compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist-supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

15.8 Third-party beneficiary

Apple and its subsidiaries are third-party beneficiaries of these terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
